S’portofino “S’portofino Club” Loyalty Program Regulations

 

These regulations specify the rules of membership in the S’portofino Club loyalty program organized by SAT Sp. z o.o. with its registered office in Poznan, ul. Grochowska 27, Poland, registered in the Register of Entrepreneurs of the National Court Register kept by the District Court Poznan – Nowe Miasto i Wilda in Poznan, 8th Commercial Division of the National Court Register, under the KRS number 0000633957, REGON [National Official Business Register number] 365284658, NIP [taxpayer identification number] 7792446406.

 

1. DEFINITIONS

1) Working Days – weekdays from Monday to Friday, excluding public holidays;

2) Form – the application form required to join the Loyalty Program in compliance with the template drawn up by the Organizer (Annex No 1), which after being filled in or – in the case of Registration in a Showroom – after also being signed by the Member pursuant to the provisions of the Loyalty Program Regulations, represents an application for joining the Loyalty Program;

3) Consumer – a natural person, within the meaning of Article 221 of the Civil Code, effecting a legal transaction, not associated directly with his/her business activity or professional activity, with the entrepreneur;

4) Member’s Account – an account created in the Store’s IT system using the Member’s data provided in compliance with the Loyalty Program Regulations, enabling completion of orders and making use of the Loyalty Program;

5) Organizer – the organizer of the Loyalty Program, i.e. SAT sp. z o.o. z with its registered office in Poznan, ul. Grochowska 27, Poland, registered in the Register of Entrepreneurs of the National Court Register kept by the District Court Poznan – Nowe Miasto i Wilda in Poznan, 8th Commercial Division of the National Court Register, under the KRS number 0000633957, NIP [taxpayer identification number] 7792446406, REGON [National Official Business Register number] 365284658;

6) Loyalty Program – a contract for the provision of S’portofino Club loyalty program services by the Organizer, concluded by means of:

a) filling in and signing by the Member of the registration form when making a one-time purchase for any amount whatsoever in a Showroom; or

b) filling in by the Member of the registration form available online in the Store, hereinafter referred to as “Registration”;

7) Regulations – the regulations setting out the terms and conditions of using the Store, together with all annexes and references to them;

8) Loyalty Program Regulations – these regulations setting out the terms, conditions and scope of the organization of and membership in the Loyalty Program, available on www.sportofino.com;

9) Regulation – the Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation);

10) Showrooms – the Organizer’s points of sale, operating under the brand name S’portofino, the current list of which can be found on www.sportofino.com;

11) Websitewww.sportofino.com;

12) Store – the online store run by the Organizer on www.sportofino.com; the Store’s mailing address is as follows:

13) Goods – such goods the purchase of which, pursuant to the Loyalty Program Regulations, results in the assignment of the transaction to the Member’s Account;

14) Member – a natural person who is over the age of 18, including a legal person and an organizational unit without legal personality, having legal capacity and capacity to perform acts, who has concluded a contract for the provision of Loyalty Program services with the Organizer, having a Member’s Account;

2. GENERAL PROVISIONS

2.1. A natural person of age, having full capacity to perform acts, can be a Member of the Loyalty Program.

2.2. The Organizer’s staff and closest family members of the Organizer’s staff (i.e. descendants, ascendants, siblings, adoptees) cannot be Members of the Loyalty Program.

2.3. Each Member, before joining the Loyalty Program, is given a possibility to get to know the Regulations and the Loyalty Program Regulations, available in Showrooms and on the Organizer’s website www.sportofino.com, as well as to download them. Accepting the Regulations and the Loyalty Program Regulations is possible by checking the correct field in the Form.

2.4. Joining the Loyalty Program after filling the Form out in a Showroom takes place based on the Member’s registration by the Organizer, following a verification whether the person filling out the Form meets the requirements of the Loyalty Program Regulations and his/her Form has been filled out correctly.

2.5. The Organizer communicates with Members through electronic mail, traditional mail and by phone. The Organizer’s contact details are as follows:

3. PERSONAL DATA

3.1. The processing of the Participant's personal data takes place in accordance with the Regulation, on the terms set out in the Store's Privacy Policy.

4. SHOPPING REGISTRATION

4.1. The Organizer shall register each purchase transaction made by a Member. Purchases of Goods in Showrooms and in the Store shall be registered in the Loyalty Program.

4.2. A given transaction shall be registered provided the Member, before purchasing specific Goods, gives his/her first name, last name, and email address.

4.3. If the Member returns the Goods purchased – in whole or in part – to the Organizer, the return amount shall be deducted from the Member’s Account.

4.4. Transactions made by the Member and registered on the Member’s Account shall be summed up throughout the entire period of membership in the Loyalty Program.

5. COMPLAINT PROCEDURE AND RIGHT TO WITHDRAW FROM THE CONTRACT

5.1. Any and all complaints filed in conjunction with Loyalty Program services may be sent to the following email address:[email protected], or to the mailing address of SAT Sp. z o.o., ul. Grochowska 27, 60-277 Poznan, Poland, within 7 days of the date of a specific event which justified the complaint.

5.2. The provisions of the following sections: 10 and 11  of the Regulations, shall apply to the complaint procedure and Members’ warranty entitlements in conjunction with the provision of Loyalty Program services.

5.3. The provisions of sections 13 Regulations shall apply to the withdrawal from the contract for the provision of Loyalty Program services.

6. BENEFITS

6.1. The benefits of membership in the Loyalty Program are set out in these Regulations and in other materials published by the Organizer.

6.2. Membership in the Loyalty Program is free of charge.

6.3. The Member is the first to receive information about new supplies and sales, both in Showrooms and in the Store; the information shall be sent to the email address indicated in the Form.

6.4. The Member receives commercial information regarding the products and services offered by the Organizer to his/her email address, phone number or mailing address.

6.5. The Member shall be entitled to 5% discount on all future purchases made in a Showroom and in the Store. The discount applies only to the purchases of Goods at regular prices (not the Goods with reduced prices and subject to other promotions). In a Showroom, the Member is obliged to give his last name to the staff to enable verification whether his/her data can be found in the Database of the Loyalty Program. In the Store, the 5% discount is given after providing the slogan CLUB and shall be active only for registered Users who are logged in while doing shopping.

6.6. The Member receives invitations to the so-called private shopping sessions in Showrooms and in the Store, i.e. pre-sale offers, special events, VIP evenings, etc.

6.7. Before finalizing a transaction, the Organizer may need to confirm the Member’s identity.

7. LOYALTY PROGRAM COMPLETION, EXCLUSION FROM THE LOYALTY PROGRAM

7.1. The Organizer may refuse Registration in the Loyalty Program if:

a) the given Member does not meet the requirements of the Loyalty Program Regulations;

b) the Form has been filled out incorrectly, i.e. it does not contain the Member's first name, last name, and email address;

c) the given Member has not accepted the provisions of the Regulations and of the Loyalty Program Regulations;

d) the given Member has not provided his/her consent to personal data processing in conjunction with his/her membership in the Loyalty Program for the purposes linked with the membership in the Loyalty Program;

e) the given Member has not provided his/her consent to receiving commercial information sent by the Organizer via electronic means (to the email address and phone number provided), which is required to ensure the correct execution of the contract for the provision of Loyalty Program services;

f) the given Member’s data have not been confirmed.

7.2. The Organizer may terminate the given Member’s membership in the Loyalty Program with a notice if the Member provided incorrect data in the Form.

7.3. The given Member may, at any time, resign from receiving commercial information about the products and services provided by the Organizer to the email address (newsletter), phone number or mailing address given. Resignation from receiving of the commercial information does not mean termination of the contract for the provision of Loyalty Program services.

7.4. The given Member may, at any time, terminate the contract for membership in the Loyalty Program with immediate effect. After the Organizer has received a written notification in this respect, the Member’s Account shall be closed.

7.5. In the case of termination of membership in the Loyalty Program, the Organizer shall be entitled to close the Member’s Account.

7.6. The Loyalty Program remains in force for an indefinite period. The Loyalty Program enters into force on May 15, 2017. The Organizer reserves the right to close the Loyalty Program based on prior notice – 60 days in advance.

7.7. In the event of a decision to close the Loyalty Program, the Organizer shall publish appropriate information on the Organizer’s website.

8. AMENDMENTS

8.1. The Organizer is entitled to make amendments to these Regulations if changes of these Regulations are necessary and result from changes in the terms and conditions of concluding contracts, the complaint procedure, the necessity to introduce amendments to make the provisions of these Regulations more accurate, changes in generally applicable legal regulations and other provisions, the amendments of which affect the execution of contracts concluded.

8.2. In the event of making amendments to these Regulations, the Organizer shall each time notify Members about the amendments introduced to the Loyalty Program Regulations by means of publishing the text of the amended Loyalty Program Regulations on the Organizer’s website and sending a notification pursuant to section 9.1 of these Regulations.

8.3. Amended Loyalty Program Regulations shall enter into force after the lapse of 14 days of the date of publication. If the Member does not agree to specific amendments to the Loyalty Program Regulations, he/she is entitled to file a resignation from membership in the Loyalty Program before the lapse of the period for the amendments becoming applicable. Neither does this exclude nor limit the Member’s right to resign from membership in the Loyalty Program at any moment.

9. NOTIFICATIONS

9.1. Unless otherwise provided in the Loyalty Program Regulations, a notification is considered delivered to the Member if it has been sent by mail to the address indicated in the Form or using electronic mail to the Member’s email address saved in the Database.

9.2. Notifications to the Organizer may be sent in the following manner: by mail to the address of the Organizer’s registered office or via electronic mail to the following email: [email protected].

10. FINAL PROVISIONS

10.1. Disputes which may result from these Loyalty Program Regulations shall be resolved by a common court of proper jurisdiction pursuant to the legal regulations in force.

10.2. The technical conditions of membership in the Loyalty Program are set out in section 14 of the Regulations.

10.3 The possibilities of using out-of-court methods of considering complaints and seeking claims by a Member being a Consumer as well as the principles of access to these procedures are set out in section 12 of the Regulations.
